1. Introduction

1.1 Welcome to Haagah

Welcome to Haagah ("Haagah", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of all services provided by Haagah, including our website, web dashboard, AI-powered WhatsApp commerce agent, inventory management infrastructure, and payment processing (collectively, the "Services" or "Platform").

These Terms apply to all users of the Services, including registered business owners and end customers who interact with the AI agent via WhatsApp.

1.2 Acceptance of Terms

By accessing or using Haagah, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use our Services.

2.1 Platform Overview

Haagah enables businesses to deploy an AI sales agent on WhatsApp that handles customer enquiries, searches product inventory, answers stock and pricing questions, generates payment links, and processes sales — automatically and continuously. Business owners manage their agent, inventory, and performance through a web dashboard.

The Services integrate with external providers for messaging, AI processing, payment processing, and cloud infrastructure. By using Haagah, you agree to comply with the applicable terms of each provider. Details of providers are disclosed in our Privacy Policy.


3. Account Registration

3.1 Creating an Account

To use Haagah as a business owner, you must register by providing accurate business and contact information. You are responsible for keeping your information current. Providing false information may result in immediate account termination.

3.2 Account Security

You agree to keep your login credentials confidential, notify us immediately of any unauthorised access at security@haagah.com, and take responsibility for all activities conducted through your account.

3.3 WhatsApp Number Registration

To activate the AI agent, business owners must connect their registered WhatsApp Business number to the platform via the dashboard. You warrant that the number you register is genuinely operated by your business. Registering a number you do not own is a breach of these Terms.

3.4 Payment Account Registration

To receive payment proceeds, business owners must register a valid payment processor account and provide their bank settlement details. Haagah is not responsible for delays or errors in payment settlement. All payment processing disputes are governed by the payment provider's terms.


4. Subscription Plans and Billing

4.1 Available Plans

Haagah offers tiered subscription plans. Details of current plans, pricing, and included features are published on the platform's pricing page and may be updated from time to time with appropriate notice.

4.2 Commission on AI-Converted Sales

In addition to the monthly subscription fee, Haagah charges a commission on each sale closed by the AI agent. The commission rate is determined by the business owner's active plan and is deducted automatically via split payment at the point of payment confirmation. Commission applies only to sales where a payment link was generated and confirmed through the platform.

We reserve the right to modify subscription pricing with at least 30 days' written notice before changes take effect.


5. Inventory and Product Data

5.1 Upload Requirements

Business owners are responsible for:

Haagah does not verify inventory accuracy. The AI agent relies entirely on the uploaded inventory as its source of truth.

5.2 Overwrite Model

Each upload replaces the previous inventory entirely. There is no version history. Uploading a file immediately becomes the live inventory.

5.3 Prohibited Products

Business owners may not list or sell through Haagah:

Haagah reserves the right to deactivate any account found listing prohibited products without notice.

5.4 Intellectual Property in Inventory

Business owners warrant that they hold all rights necessary to list and sell the products in their inventory and that doing so does not infringe any third party's intellectual property rights.


6. The AI Agent

6.1 Nature of the Agent

The Haagah AI agent uses retrieval-augmented generation to search the business owner's indexed inventory and generate responses grounded in that inventory. The agent does not fabricate product information, prices, or stock levels not present in the uploaded data.

6.2 Agent Limitations

Business owners acknowledge that:

Haagah is not liable for lost sales resulting from agent errors, response delays, or third-party service outages.

6.3 Bot Disclosure

Business owners agree to configure their agent with an honest disclosure posture. If an end customer directly asks whether they are speaking to a human or AI, the agent must not claim to be human.

6.4 Agent Persona Responsibility

Business owners are responsible for all content configured in their agent persona. Haagah is not responsible for harm arising from personas configured by business owners. Business owners may not configure their agent to make false claims, engage in misleading conduct, or violate applicable consumer protection laws.


7. Payments and Transactions

7.1 Payment Link Generation

When the AI agent detects confirmed purchase intent from a customer and the business owner has a registered payment account, Haagah generates a payment link and delivers it to the customer via WhatsApp.

7.2 Payment Confirmation

On confirmed payment, Haagah marks the order as paid, adjusts inventory stock, records the transaction, sends the customer a WhatsApp confirmation, and notifies the relevant staff member.

7.3 Refunds

Haagah does not process refunds on behalf of business owners. Refund requests must be handled directly by the business owner with the payment provider.

7.4 Currency

Subscription fees are billed in ZAR. Product prices and payment links are denominated in the currency configured on the business owner's account.


8. Business Owner Responsibilities

8.1 Compliance with Laws

Business owners agree to use Haagah in compliance with:

Business owners are responsible for fulfilling all orders placed through the AI agent in a timely and professional manner, honouring listed prices, responding promptly when the agent routes customers to human staff, and resolving customer disputes.

8.3 WhatsApp Policy Compliance

Business owners may not use the Haagah agent to send unsolicited messages to customers who have not initiated contact, or to send any content that violates WhatsApp's Prohibited Content guidelines.


9. End Customer Protections

9.1 Transparency

End customers are entitled to know they are interacting with an AI agent, receive accurate product and pricing information as listed in the supplier's inventory, and receive a payment link only for products they have explicitly agreed to purchase.

9.2 Customer Data

End customer data is used exclusively to process their sales enquiry. It is not shared with other business owners, used for advertising, or sold to third parties. See our Privacy Policy.


10. Intellectual Property

10.1 Haagah Platform

All intellectual property in the Haagah platform is owned by Haagah. Nothing in these Terms grants any licence to that intellectual property beyond the limited right to use the Services as described herein.

10.2 Business Owner Content

Business owners retain ownership of their inventory data and agent configurations. By uploading inventory and configuring their agent, business owners grant Haagah a non-exclusive licence to process and use that content to provide the Services.

10.3 Platform Data

Anonymised, aggregated economic intelligence derived from platform activity belongs to Haagah. No individual business or customer data is included in any external publication or commercialisation of this intelligence.

You may not use Haagah to:


12. Limitation of Liability

12.1 Service Availability

Haagah provides the Services on a reasonable efforts basis and does not guarantee uninterrupted availability. Downtime may occur due to third-party infrastructure, scheduled maintenance, or circumstances beyond our control.

12.2 AI Agent Accuracy

Haagah does not warrant that agent responses will be accurate, complete, or appropriate in every situation.

12.3 Cap on Liability

To the maximum extent permitted by South African law, Haagah's total liability to a business owner for any claim shall not exceed the total subscription fees paid by that owner in the 3 months preceding the event giving rise to the claim.

12.4 Exclusions

Haagah is not liable for losses arising from inaccurate inventory uploaded by the business owner, third-party service outages, customer disputes from order fulfilment failures, or consequential, indirect, or speculative losses of any kind.


13. Indemnification

Business owners agree to indemnify Haagah against claims, losses, damages, and expenses arising from their breach of these Terms, listing of prohibited products, failure to fulfil orders, misleading agent configurations, or violation of applicable law.


14. Termination

14.1 By Business Owner

Business owners may cancel their account at any time via the dashboard or by emailing support@haagah.com. Cancellation takes effect at the end of the current billing period with no refund for the remaining period.

14.2 By Haagah

We reserve the right to suspend or terminate any account for breach of these Terms, non-payment after the grace period, or conduct that creates legal or regulatory risk for Haagah.

14.3 Effect of Termination

On termination, the AI agent is immediately deactivated, inventory data is deleted within 30 days, dashboard access is revoked, and transaction records are retained as required by law.


15. Changes to These Terms

For material changes, we will notify business owners via their registered email address at least 30 days before changes take effect. Continued use constitutes acceptance.


16. Governing Law and Disputes

These Terms are governed by the laws of the Republic of South Africa. Disputes shall first be referred to good-faith negotiation. If unresolved, disputes shall be submitted to the jurisdiction of the South African courts.
